1. The determination of the mare's condition for breeding is the purchasers responsibility.

We recommend the mare be seen and evalutated by a vet prior to breeding.

2. A non-refudable Booking Fee of $350 is due at the signing of this contract.

3. The 2008 Breeding Fee is $1,250. A 10% discount applies if booked by 2/28/07.

4. Hidden Valley Farm will collect semen for the mare one time without a colletion charge.

5. After the initial semen collection, it is the puchasers responsibility, if additional semen

collections are necessary, to pay the collection fee of $200 or $250 if collected on Saturday or

Sunday.

6. The cost of shipping the semen is the purchasers responsibility. A $100 shipping deposit will be

required and applied to shipping charges. Balance will be refunded after the completed veterinary

certificate is returned by November 30, 2008.

7. If semen is shipped from airport to airport, there will be a $65 charge for the transportation to

the airport.

8. One package of semen (1 billion sperm) will be sent in one shipment. If available and requested,

two packages of semen will be sent.

9. Interest of 1.5% per month will be charged on outstanding balances.

10. The purchaser is responsible for teasing, calculating estrus and insemination of the mare.

11. It is the purchasers responsibility to contact Hidden Valley Farm immediately when the mare

comes into heat. Hidden Valley farm will not guarantee that a collection will be made without 36

hours notice.

12. Further, it is agreed if the mare fails to conceive during the 2008 breeding season, Hidden

Valley Farm will collect and ship again in the 2009 and 2010 season if necessary. A veterinary

certificate to that effect is required. It will be the purchasers responsibility to pay the collection

and shipping charges. If the mare, after being checked in foal aborts or does not produce a foal to

stand and nurse, a return privilege will be granted for the 2009 and 2010 season, if necessary, with

out additional stud fees but the purchaser will be responsible for collection and shipping charges. A

veterinary certificate is required within 10 days from the date of death. This constitutes a 3 year

live foal guarantee. Balance of deposits is returned. Upon notificaton, a substitute mare may be

used in the contract period.

13. It is further agreed that should the stallion die or become unfit before serving the mare, frozen

semen, if available, will replace fresh colled semen. Or, Bravo can be replaced with another of my

stallions, if available. If the named mare dies or becomes unfit to be bred before the first shipment

of semen is sent, a mare may be substituted or the fees paid, less expenses incurred, will be

returned. A veterinary certificate will be required.

14. This agreement shall be interpreted, construed and governed by the laws of the State of California.

I agree that if it is necessary for either party to file a lawsuit arising out of this agreement, they will

only file the lawsuit in Sonoma County, California. If any legal action is necessary to enforce the

terms of this contract, the prevailing party shall be entitled to reasonable attorney's fees and collection

costs.

15. When Hidden Valley Farms, by it's authorized representative, signs and returns one copy of this

contract, it will be a binding contract on both parties subject to the above terms and conditions and not

transferable or assignable.
